These Trade Terms and Conditions ("Terms") govern the supply of goods by Gwyneth Jewellery Limited to its trade customers. By placing an order or registering a trade account with us, you confirm that you have read, understood, and agree to be bound by these Terms.

References in these Terms to "we," "us," and "our" mean Gwyneth Jewellery Limited. References to "you" and "your" mean the trade customer.

2. Business Customers Only

2.1 These Terms apply exclusively to business customers purchasing for resale or business use. We do not sell to consumers (as defined under the Consumer Rights Act 2015) through this website.

2.2 By placing an order, you warrant and represent that:

  • (a) You are a business entity registered in the United Kingdom;
  • (b) You hold a valid UK VAT registration number;
  • (c) You hold a valid Companies House registration number (or equivalent registered business identification);
  • (d) You are purchasing goods for resale through a legitimate retail business, or for use in your own business operations;
  • (e) You are not a consumer purchasing for personal, family, or household use.

2.3 We reserve the right to refuse, cancel, or terminate any order or account where we reasonably believe the customer is not a genuine business entity. The Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to these Terms.

3. Trade Account Registration

3.1 To place an order, you must first register a trade account and provide:

  • (a) Your registered company name (as recorded at Companies House);
  • (b) Your Companies House registration number;
  • (c) Your UK VAT registration number;
  • (d) A valid business email address and telephone number;
  • (e) A UK business delivery address.

3.2 We may verify the information provided against Companies House and HMRC public records. We may refuse to approve any application at our sole discretion.

3.3 You are responsible for keeping your account information accurate and up to date. You must notify us in writing of any material change within 14 days.

3.4 We may suspend or terminate your trade account if we reasonably believe you have breached these Terms, provided false information, or ceased to be a registered business entity.

4. Orders and Minimum Order Requirements

4.1 Minimum Order Quantity (MOQ): Each order must contain a minimum of 10 individual pieces.

4.2 Minimum Order Value (MOV): Each order must have a minimum total value of £250 (excluding VAT, shipping, and any applicable processing fees).

4.3 Orders below the MOQ or MOV will not be accepted. Our website checkout will prevent submission of orders that do not meet these thresholds.

4.4 An order is only accepted by us when we issue a written order confirmation by email. The display of products on our website is an invitation to treat, not a binding offer.

4.5 We reserve the right to refuse any order at our sole discretion, including but not limited to circumstances where: (a) the product is no longer available; (b) we have reasonable grounds to suspect fraud; (c) the customer has previously breached these Terms.

5. Pricing and Payment

5.1 Trade pricing: Our trade prices are set at 50% off the recommended retail price (RRP). Trade prices are displayed on the website to registered trade account holders.

5.2 Currency: All prices are quoted and payable in Pounds Sterling (GBP).

5.3 VAT: Prices are exclusive of UK Value Added Tax (VAT), which will be added at the prevailing rate where applicable. Our VAT registration status and VAT number (where applicable) will be displayed on invoices.

5.4 Trade processing fee: A trade processing fee of 2% will be added to each order at checkout to cover payment processing costs. The exact percentage is displayed at checkout before order submission.

5.5 Payment method: We accept payment through Stripe only. We do not offer invoice terms, NET 30, or any form of deferred payment. Full payment is required at the time of order submission.

5.6 Pricing changes: We may revise our prices from time to time. Price changes will not affect orders already accepted by us. We will give 30 days’ written notice of any general price increase to active trade account holders.

5.7 Discounts and promotions: Any volume discounts or promotional pricing must be agreed in writing in advance. Discounts cannot be applied retroactively to completed orders.

6. Product Description, Materials and Hallmarking

6.1 All goods supplied are made from 925 sterling silver, hand-crafted at our Bedford studio.

6.2 Hallmarking disclosure: Each piece weighs below the 7.78 gram threshold set out in the Hallmarking Act 1973. Pieces below this threshold are exempt from compulsory UK hallmarking. We disclose this clearly and you, as a trade customer, must accurately disclose the same to your end consumers when reselling our products.

6.3 We do not supply: diamonds, gemstones, gold, platinum, or any metals other than 925 sterling silver. Any representation by you to your customers that our products contain such materials would constitute a misrepresentation for which you would be solely liable.

6.4 Product images on our website are representative. As each piece is hand-made, minor variations in finish, dimensions, and weight may occur and are inherent to the craft. Such variations do not constitute a defect.

7. Delivery

7.1 Delivery area: We supply only within the United Kingdom. We do not ship internationally.

7.2 Lead time: Our standard lead time is 14 working days from the date of order confirmation. This covers production and dispatch.

7.3 Carrier: We use insured commercial courier services. Insurance cover is limited to a maximum of £2,500 per consignment.

7.4 Delivery costs: Delivery costs are added at checkout and are calculated based on the order weight and delivery address.

7.5 Risk and title: Risk in the goods passes to you on delivery. Title in the goods does not pass to you until we have received payment in full and any retention of title clause has been satisfied (see clause 8).

7.6 Inspection on delivery: You must inspect the goods on delivery and notify us in writing of any shortage, damage, or defect within 7 working days. After this period, you are deemed to have accepted the goods.

7.7 Failed delivery: If delivery fails due to your absence or refusal to accept, we may charge reasonable redelivery costs.

7.8 Force majeure: We are not liable for delays caused by events outside our reasonable control (including but not limited to industrial action, courier failure, severe weather, or government restrictions).

8. Retention of Title

8.1 Title in the goods remains with us until we have received payment in full (in cleared funds) of all sums due in respect of the goods and any other sums you owe us.

8.2 Until title passes, you must:

  • (a) Hold the goods on a fiduciary basis as our bailee;
  • (b) Store the goods separately and ensure they are clearly identifiable as our property;
  • (c) Not modify, alter, or interfere with any product markings;
  • (d) Maintain insurance over the goods against all risks.

8.3 We may, at any time before title passes, require you to return the goods and may enter your premises to recover them.

8.4 You may resell the goods in the ordinary course of business before title has passed, on the condition that the proceeds of sale are held on trust for us until your account with us has been paid in full.

9. Returns, Refunds and Defects

9.1 Detailed returns and refunds processes are set out in our Trade Returns Policy and Trade Refund Policy, which form part of these Terms.

9.2 In summary:

  • (a) We accept returns for goods that are defective on delivery or that do not match the agreed specification;
  • (b) We do not accept returns for change of mind, incorrect ordering by you, or for goods that have been resold or modified;
  • (c) Defects must be notified within 7 working days of delivery, with photographic evidence;
  • (d) Refunds for accepted returns will be made through Stripe within 5 to 10 working days;
  • (e) Trade processing fees and original shipping costs are non-refundable.

9.3 Bespoke, custom, and made-to-order items are non-returnable except in the case of manufacturing defect.

10. Resale Conditions

10.1 You may resell our goods through your own retail channels, subject to the following:

  • (a) You must accurately describe the goods as 925 sterling silver and disclose the hallmarking exemption where required by law;
  • (b) You may not represent the goods as containing gold, platinum, gemstones, or any material we have not supplied;
  • (c) You may not use our brand name or images in a way that misleads consumers about the origin of the goods;
  • (d) You may not resell to third parties for further wholesale.

10.2 You indemnify us against any claim, loss, or liability arising from your misrepresentation of our goods to your end customers.

11. Intellectual Property

11.1 All designs, photographs, product images, branding, and website content are owned by Gwyneth Jewellery Limited or used under licence.

11.2 As a trade customer, you are granted a limited, non-exclusive, non-transferable licence to use our product images and descriptions for the purpose of reselling the goods supplied to you. This licence terminates if your trade account is terminated.

11.3 You may not:

  • (a) Copy, reproduce, or commercially exploit our designs, photographs, or branding outside the scope of the licence above;
  • (b) Manufacture or commission identical or substantially similar designs to those we supply;
  • (c) Register any trade mark or design right that conflicts with our intellectual property.

12. Limitation of Liability

12.1 Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be limited or excluded by UK law.

12.2 Subject to clause 12.1, our total aggregate liability to you, whether in contract, tort (including negligence), or otherwise, arising in connection with these Terms is limited to the total amount paid by you for the goods giving rise to the claim in the 12 months preceding the event.

12.3 We are not liable for any indirect, consequential, or special losses, including but not limited to: loss of profits, loss of business, loss of goodwill, loss of anticipated savings, or business interruption.

12.4 These limitations apply because: (a) this is a business-to-business contract; (b) trade pricing reflects the allocation of risk between the parties; (c) you are expected to insure your own business risks.

13. Termination

13.1 We may terminate your trade account and these Terms immediately by written notice if:

  • (a) You commit a material breach of these Terms and fail to remedy it within 14 days of written notice;
  • (b) You become insolvent, enter administration, or cease trading;
  • (c) You provide false or misleading information to us;
  • (d) You bring our business or reputation into disrepute.

13.2 On termination, any outstanding orders may be cancelled at our discretion, and any sums owed to us become immediately due.

13.3 Clauses that by their nature should survive termination (including limitation of liability, retention of title, intellectual property, and indemnity clauses) will continue to apply.

14. Confidentiality and Data Protection

14.1 Each party will keep confidential any non-public information disclosed by the other party in the course of the business relationship.

14.2 We process trade customer personal data in accordance with our Privacy Policy and the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

15. Anti-Bribery and Anti-Modern Slavery

15.1 You confirm that you operate in compliance with the Bribery Act 2010 and the Modern Slavery Act 2015 in so far as they apply to your business.

15.2 You will not engage in any conduct that would cause us to be in breach of these laws.

16. Notices

16.1 All formal notices under these Terms must be in writing and sent to:

16.2 Notices sent by email are deemed received on the next working day. Notices sent by post are deemed received 2 working days after posting.

17. General

17.1 Entire agreement: These Terms, together with our Trade Returns Policy, Trade Refund Policy, Trade Shipping Policy, Privacy Policy, and any order confirmation, constitute the entire agreement between us.

17.2 Variation: We may amend these Terms by giving 30 days’ written notice. The version of the Terms in force at the time of order acceptance applies to that order.

17.3 No waiver: Failure to enforce any provision does not waive the right to enforce it later.

17.4 Severability: If any provision is held unenforceable, the remaining provisions remain in full force.

17.5 Third party rights: A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999.

17.6 Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.

18. Governing Law and Jurisdiction

18.1 These Terms are governed by the laws of England and Wales.

18.2 Any dispute arising under or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales.
